Important: This is a legal document that creates a binding agreement between you and Success Bee LLC. While we've tried to make it clear and approachable, it contains important information about your rights and responsibilities. Please read it carefully. Welcome to Halfway. These Terms of Service constitute a legal agreement between you and Success Bee LLC (doing business as Halfway). By creating an account, accessing, or using our app, you agree to these terms in their entirety.
1. Eligibility & Account Registration
Age Requirement
You must be at least 18 years old to use Halfway. By creating an account, you represent and warrant that:
- You are 18 years of age or older
- You have the legal capacity to enter into this binding agreement
- You are not prohibited from using the service under applicable law
Account Creation
- You must provide accurate and complete information when creating your account
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized access to your account
- You may not share your account with others or create multiple accounts for yourself
Lawful Use
You agree to use Halfway only for lawful purposes and in compliance with all applicable federal, state, and local laws.
2. Services Provided
Halfway is a financial management tool designed for couples. Our services include:
- Expense tracking and categorization
- Budgeting tools and spending insights
- Expense splitting and settlement tracking
- Integration with financial institutions via Plaid
- AI-powered transaction categorization
- Financial reports and visualizations
Service Availability
Halfway is available in the United States, Canada, United Kingdom, and European Union (limited to countries supported by Plaid). We do not guarantee uninterrupted or error-free service, and we may modify or discontinue features at any time.
3. Not a Financial Advisor
Important Disclaimer: Halfway is an informational tool only. We are not financial advisors, investment advisors, accountants, tax professionals, or lawyers.
- The insights, recommendations, and reports we provide are for informational purposes only
- We do not provide personalized financial, investment, legal, or tax advice
- You should not rely solely on Halfway for making financial decisions
- You should consult with qualified professionals (financial advisors, CPAs, attorneys) for advice tailored to your situation
You are solely responsible for your financial decisions. We make no warranties about the accuracy, completeness, or suitability of any information or recommendations provided through Halfway.
4. Not a Bank or Financial Institution
Halfway is not a bank. Important facts:
- Not FDIC Insured: Funds in your bank accounts are insured by your bank (if FDIC member), not by Halfway. We do not hold, custody, or control your funds.
- Read-Only Access: We can only view your transaction data. We cannot move money, initiate transfers, or access your funds.
- Third-Party Connections: Bank connections are facilitated through Plaid, a third-party financial technology provider.
5. Data Accuracy & User Responsibility
While we strive for accuracy, we cannot guarantee that all transaction data, categorizations, or calculations are 100% correct.
Your Responsibility
- You are responsible for reviewing your transactions and budgets for accuracy
- You should verify all data against your official bank statements
- You should report any discrepancies or errors to us promptly
- You are solely responsible for ensuring your tax filings and financial records are accurate
Data Delays
- Transaction data may be delayed due to bank processing times or Plaid synchronization
- Balances and transaction histories reflect information available at the time of sync
- Real-time accuracy is not guaranteed
6. Third-Party Services
Halfway integrates with third-party services to provide our features. You acknowledge and agree that:
Plaid
- By connecting your bank account, you authorize Plaid and Halfway to access your financial data in read-only mode
- You agree to Plaid's End User Privacy Policy
- We are not responsible for Plaid service outages, data inaccuracies, or connection failures
- Plaid availability is limited to supported financial institutions (over 12,000 in US, Canada, UK, and EU)
Stripe
- Payments are processed by Stripe. We do not store your credit card information
- You agree to Stripe's Services Agreement
- We are not responsible for Stripe payment processing failures or delays
OpenAI
- We use AI models to categorize transactions and provide insights
- AI suggestions may not always be accurate and should be reviewed by you
- We are not responsible for AI-generated errors or misclassifications
Third-Party Liability
We are not responsible for the actions, omissions, errors, or failures of any third-party service providers.Your use of third-party services is at your own risk and subject to their respective terms and policies.
7. Third-Party Financial Advisors
IMPORTANT NOTICE REGARDING THIRD-PARTY FINANCIAL ADVISORY SERVICES
Halfway has partnered with third-party financial advisory services (such as AmplifyFinancials.com) to offer users access to financial planning and advisory services. Through this partnership, eligible users may receive complimentary financial advisor sessions as part of promotional offers or premium features.
NO AGENCY, PARTNERSHIP, OR EMPLOYMENT RELATIONSHIP
You expressly acknowledge and agree that:
- Independent Contractors: All third-party financial advisors, including but not limited to AmplifyFinancials.com and their advisors, are INDEPENDENT CONTRACTORS. They are NOT employees, agents, representatives, or partners of Success Bee LLC (Halfway).
- No Control: Halfway does not supervise, direct, or control the advice, recommendations, or services provided by third-party advisors.
- Separate Legal Entities: Third-party advisors are separate legal entities operating independently from Halfway.
- No Authority to Bind: Third-party advisors have no authority to bind Halfway to any agreements, obligations, or representations.
OPTIONAL SERVICE - USE AT YOUR OWN RISK
- Completely Optional: Engagement with third-party financial advisors is entirely optional. You are under NO OBLIGATION to use their services, schedule consultations, or purchase any products.
- Use at Your Own Risk: Any interaction with third-party advisors is AT YOUR SOLE RISK.
- No Endorsement: Halfway's partnership or referral does not constitute an endorsement of the advisor's qualifications, advice, or investment strategies.
ZERO LIABILITY - SUCCESS BEE LLC IS NOT RESPONSIBLE
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUCCESS BEE LLC (HALFWAY) HAS ZERO LIABILITY FOR:
- Advice Provided: Any financial advice, investment recommendations, tax strategies, or estate planning guidance provided by third-party advisors
- Investment Performance: Any investment losses, market volatility, poor performance, or failure to achieve financial goals resulting from advisor recommendations
- Financial Losses: Any financial losses, damages, or costs incurred as a result of following advisor recommendations or purchasing financial products through advisors
- Advisor Conduct: Any negligence, misconduct, fraud, misrepresentation, or unethical behavior by third-party advisors
- Quality of Service: The quality, accuracy, timeliness, or suitability of services provided by third-party advisors
- Disputes: Any disputes, claims, or conflicts between you and third-party advisors
- Regulatory Issues: Any regulatory violations, license suspensions, or disciplinary actions involving third-party advisors
- Data Breaches: Any data breaches, privacy violations, or unauthorized disclosure of your information by third-party advisors
- Unauthorized Charges: Any unauthorized charges, billing disputes, or payment issues with third-party advisors
USER ASSUMES ALL RISK
By choosing to engage with third-party financial advisors:
- You Acknowledge: You are entering into a separate, independent relationship with the advisor
- You Accept Full Responsibility: For all financial decisions, investments, and outcomes resulting from advisor interactions
- You Assume All Risk: Including but not limited to investment losses, market risks, advisor errors, and advisor misconduct
- You Waive Claims Against Halfway: You agree not to hold Halfway responsible for any advisor-related issues
NO GUARANTEE OF RESULTS
- No Warranties: Halfway makes NO REPRESENTATIONS OR WARRANTIES about:
- Advisor qualifications, credentials, or experience
- Quality or accuracy of advice provided
- Investment returns or financial outcomes
- Suitability of recommendations for your situation
- Past Performance: Past investment performance does not guarantee future results
- Market Risks: All investments involve risk, including possible loss of principal
DUE DILIGENCE IS YOUR RESPONSIBILITY
Before engaging any third-party financial advisor, you are strongly encouraged to:
- Verify Credentials: Independently verify the advisor's licenses, certifications (CFP®, CFA®, etc.), and registrations
- Check Regulatory Records: Review the advisor's record with:
- FINRA BrokerCheck (brokercheck.finra.org)
- SEC Investment Adviser Public Disclosure (adviserinfo.sec.gov)
- State securities regulators
- Review Disciplinary History: Check for complaints, sanctions, or regulatory actions
- Understand Fee Structure: Ask about all fees, commissions, and compensation arrangements
- Read Their Disclosure Documents: Review Form ADV (for investment advisors) or other required disclosures
- Ask Questions: Don't hesitate to ask about qualifications, conflicts of interest, or investment strategies
INVESTMENT RISKS
Any financial products, investment strategies, or securities discussed or purchased through third-party advisors involve risk, including:
- Possible loss of principal investment
- Market volatility and fluctuations
- Interest rate risk
- Inflation risk
- Liquidity risk
- Concentration risk
Success Bee LLC is not responsible for investment risks or losses.
INDEMNIFICATION FOR ADVISOR INTERACTIONS
You agree to indemnify, defend, and hold harmless Success Bee LLC, its officers, directors, employees, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:
- Your interactions with third-party financial advisors
- Investment decisions made based on advisor recommendations
- Disputes between you and third-party advisors
- Financial losses resulting from advisor services
- Any breach of advisor terms of service or agreements
SEPARATE TERMS APPLY
- Advisor's Terms Govern: Your relationship with third-party advisors is governed by their own terms of service, privacy policies, and advisory agreements
- Read Before You Sign: Carefully review all documents before signing or agreeing to advisory services
- Direct Relationship: Any contracts, agreements, or obligations are between you and the advisor—not between you and Halfway
REGULATORY DISCLAIMER
Halfway (Success Bee LLC) is NOT:
- A registered investment advisor (RIA)
- A broker-dealer
- A financial planner or advisor
- Regulated by the SEC, FINRA, or any state securities regulator
We provide technology tools only. Third-party advisors may be registered with appropriate regulators—verify their status independently.
8. Promotional Offers & Discount Codes
From time to time, Halfway may offer promotional codes, discounts, referral bonuses, or special offers. The following terms apply to all promotions:
Promo Code Terms
- Subject to Terms at Redemption: Promotional offers are subject to the specific terms and conditions stated at the time of redemption
- Expiration Dates: Promo codes may have expiration dates and must be redeemed before expiration to be valid
- Usage Limits: Codes may be limited to:
- One use per customer
- First-time subscribers only
- Specific subscription plans
- A maximum number of total redemptions
- Cannot Be Combined: Unless explicitly stated, promotional codes cannot be combined with other offers, discounts, or promotions
- Non-Transferable: Promo codes are non-transferable and may not be sold or exchanged for cash
Discount Application
- Initial Period Only: Unless otherwise specified, discounts apply only to the initial billing period (e.g., first month or first year)
- Auto-Renewal at Full Price: After the promotional period ends, your subscription will automatically renew at the standard subscription price
- No Retroactive Application: Promotional codes cannot be applied retroactively to past charges or existing subscriptions
Referral Programs
- Referral bonuses or credits are subject to separate program terms
- Both referrer and referee may need to meet eligibility requirements (e.g., active paid subscription)
- Referral abuse or fraudulent referrals may result in forfeiture of credits and account suspension
Modification & Cancellation Rights
- Right to Modify: Halfway reserves the right to modify, suspend, or cancel any promotional offer at any time without prior notice
- Eligibility Changes: We may change eligibility requirements or redemption terms for future promotions
- Fraud Prevention: We reserve the right to invalidate promo codes obtained through fraudulent means or used in violation of terms
No Cash Value
Promotional discounts and credits have no cash value and cannot be redeemed for cash or refunds.
9. Mobile Application Terms
If you access Halfway through our mobile application (iOS or Android), additional terms apply:
App Store Terms
- Apple App Store: If you download the iOS app, you agree to Apple's Licensed Application End User License Agreement
- Google Play Store: If you download the Android app, you agree to Google's Google Play Terms of Service
- In-App Purchases: Subscription payments made through app stores are subject to the app store's payment and refund policies
- App Store Fees: App stores may charge their own fees or commissions on in-app purchases (separate from our subscription pricing)
Push Notifications
- Consent Required: By enabling push notifications, you consent to receiving:
- Budget alerts and spending notifications
- Transaction sync confirmations
- Security alerts and account notifications
- Service updates and feature announcements
- Opt-Out: You can disable push notifications at any time through your device settings
- Notification Content: Notifications may contain limited financial information (e.g., "Budget exceeded" or "New transaction"). Sensitive details are not included in notification previews
Biometric Authentication
- Optional Feature: Biometric login (fingerprint, Face ID, etc.) is an optional security feature
- Device Security: Biometric authentication relies on your device's built-in security features. We do not store biometric data on our servers
- Your Responsibility: You are responsible for maintaining the security of your device and any biometric profiles stored on it
- Shared Devices: Do not enable biometric authentication on shared or public devices. Anyone with registered biometric access on your device can access your Halfway account
- Fallback Authentication: You must maintain a password for account recovery in case biometric authentication fails
Device Permissions
The Halfway mobile app may request the following device permissions:
- Notifications: To send you budget alerts and account updates
- Biometric Access: For fingerprint/Face ID login (optional)
- Camera: To scan receipts or upload profile pictures (optional)
- Storage: To cache data locally for offline functionality
You can manage permissions through your device settings. Denying certain permissions may limit app functionality.
Offline Functionality
- Limited Offline Access: Some features may be available offline (e.g., viewing cached transactions), but full functionality requires an internet connection
- Data Sync: Changes made offline will sync to our servers when you reconnect to the internet
- Sync Delays: There may be delays in data synchronization depending on your connection quality
- Conflicts: If you make changes offline on multiple devices, the most recent sync typically takes precedence. We are not responsible for data conflicts resulting from offline usage
App Updates
- Automatic Updates: We recommend enabling automatic app updates to ensure you have the latest features and security patches
- Minimum Version: We may require a minimum app version to access certain features or maintain compatibility
- Discontinued Support: We may discontinue support for older app versions or operating systems with advance notice
Background Data Usage
- The app may sync data in the background to keep your transactions up-to-date
- Background sync frequency depends on your device settings and connection type
- You can disable background data usage through your device settings, but this may affect data freshness
Battery & Performance
- We optimize the app for battery efficiency, but frequent syncing and background processes may consume battery
- If you experience performance issues, try closing and restarting the app or clearing the app cache
Uninstalling the App
- Uninstalling the mobile app does not delete your Halfway account or data
- To permanently delete your account, you must use the in-app delete account feature or contact support
- Uninstalling may not cancel active subscriptions—you must cancel through the app or app store settings
8. Household Terms & Data Sharing
Halfway is designed for couples to manage finances together. Important terms regarding household accounts:
What Data is Shared
- When you invite a partner to your household, you explicitly agree to share:
- Transactions marked as "shared" or "split"
- Joint budget progress and spending insights
- Household settings and preferences
- Personal transactions remain private unless you designate them as shared
Individual Responsibility
- Each person is responsible for their own transactions and financial obligations
- Halfway does not create joint liability between household members
- We are not responsible for disputes between household members regarding shared expenses
Removing a Partner
- Either partner can remove the other from the household at any time through app settings
- Removing a partner revokes their access to shared data going forward
- Historical shared data may remain visible to both parties as a record of past agreements
Household Dissolution
- If you dissolve your household, each person retains their own personal data
- Shared transaction history may be retained by both parties
- You are responsible for resolving any outstanding balances or settlements between partners
Consent and Trust
Important: You should only invite someone to your household if you trust them with your financial information. Be particularly cautious in situations involving:
- Domestic conflicts or abusive relationships
- Contested divorces or separations
- Financial disputes
We recommend consulting with a legal or financial professional if you have concerns about data sharing with a partner.
10. Subscriptions & Payments
Halfway operates on a subscription model with monthly or yearly billing.
Billing
- Payments are processed securely via Stripe
- By subscribing, you authorize us to charge your payment method for the agreed amount plus any applicable taxes
- Subscription fees are charged at the start of each billing period (monthly or yearly)
Automatic Renewal
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period
- You will be charged for the renewal at the then-current subscription price
- We will notify you in advance if there are any price changes
Price Changes
- We may change subscription prices at any time
- Price changes will not affect your current billing cycle
- We will notify you at least 30 days before any price increase takes effect
- You may cancel your subscription if you do not agree to the new price
Cancellation
- You may cancel your subscription at any time through the app settings or by contacting support
- Cancellation takes effect at the end of your current billing cycle
- You will retain access to premium features until the end of the paid period
- No partial refunds are provided for early cancellation
Refunds
- We generally do not offer refunds for partial subscription periods
- Refunds may be considered on a case-by-case basis for exceptional circumstances (e.g., technical issues, billing errors)
- To request a refund, contact us at hello@meethalfway.app within 14 days of the charge
Free Trial
- We may offer free trials from time to time
- You must provide payment information to start a free trial
- You will be automatically charged when the trial ends unless you cancel before the trial period expires
Taxes
- You are responsible for any applicable sales, use, or value-added taxes
- Prices displayed do not include taxes unless explicitly stated
11. Account Security
You are responsible for maintaining the security of your account. You agree to:
- Use a strong, unique password
- Not share your login credentials with anyone
- Enable two-factor authentication if available
- Notify us immediately if you suspect unauthorized access
- Log out of shared or public devices
Unauthorized Access
You are responsible for all activity that occurs under your account. We are not liable for any loss or damage resulting from unauthorized access due to your failure to maintain account security.
12. User Conduct
You agree not to:
- Use Halfway for any illegal activities or to violate any laws
- Attempt to reverse engineer, decompile, or disassemble any part of the service
- Interfere with or disrupt the service or servers/networks connected to the service
- Use automated systems (bots, scrapers) to access the service without our permission
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Share data or access belonging to another person without their explicit consent (e.g., connecting a partner's bank account without permission)
- Transmit any viruses, malware, or harmful code
- Use the service to harass, abuse, threaten, or harm others
- Violate any applicable laws or regulations
Consequences of Violations
Violation of these terms may result in immediate suspension or termination of your account without refund.
13. Data & Privacy
Your privacy is critical to us. Our use of your data is governed by our Privacy Policy. By using Halfway, you consent to the collection and use of your information as outlined therein, including the processing of your data by our third-party partners (Plaid, Stripe, OpenAI).
Key highlights:
- We do not sell your personal or financial data
- All data is encrypted at rest and in transit
- You can delete your account and data at any time
- We comply with GDPR, CCPA, and other applicable privacy laws
14. End User License Agreement (EULA) & Intellectual Property
Important: This End User License Agreement (EULA) creates a binding license agreement between you and Success Bee LLC. By downloading, installing, or using the Halfway application, you agree to be bound by the terms of this license.
Ownership
All rights, title, and interest in Halfway (including software, design, text, logos, trademarks, and other intellectual property) are the exclusive property of Success Bee LLC.
License Grant
You are granted a limited, non-exclusive, non-transferable, revocable license to use the app for your personal, non-commercial use on devices you own or control. This license is subject to your compliance with these Terms.
License Restrictions
You may not:
- Copy, modify, or create derivative works of the service
- Reverse engineer, decompile, or attempt to extract source code
- Remove any proprietary notices or labels
- Use our trademarks, logos, or branding without permission
- Resell, redistribute, sublicense, or rent the service
- Use the app on behalf of any third party without authorization
Third-Party Components
The app may include third-party libraries and open-source software governed by their own licenses. Such components are provided "as is."
User Content
You retain ownership of any data you input into Halfway (e.g., manual transactions, notes, custom categories). By using the service, you grant Success Bee LLC a limited license to use, store, and process your content solely to provide and improve the service. This license terminates when you delete your account.
License Termination
This license is effective until terminated. It terminates automatically if you violate these Terms or delete your account. Upon termination, you must cease all use of Halfway and delete any copies of the app from your devices.
App Store Acknowledgment
This EULA is between you and Success Bee LLC, not with Apple or Google. Apple and Google are not responsible for the app or its content. Apple and Google have no obligation to provide maintenance or support for the app. In the event of any failure to conform to applicable warranties, you may notify Apple or Google for a refund of the purchase price (if any); beyond that, Apple and Google have no warranty obligations. Apple and Google are not responsible for addressing any claims relating to the app. Apple is a third-party beneficiary of this EULA (as required by Apple).
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
No Indirect Damages
Success Bee LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
Maximum Liability Cap
Our total liability to you for any claims arising from or related to your use of Halfway shall not exceed the greater of:
- The amount you paid to us in the 12 months prior to the claim, or
- $100 USD
Applies Regardless of Cause
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages.
16. Warranty Disclaimers
HALFWAY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
No Warranties
To the fullest extent permitted by law, Success Bee LLC disclaims all warranties, express or implied, including but not limited to:
- Merchantability: No warranty that the service is fit for general use
- Fitness for a Particular Purpose: No warranty that the service will meet your specific needs
- Non-Infringement: No warranty that the service does not infringe third-party rights
- Accuracy: No warranty that data, calculations, or insights are accurate or complete
- Availability: No warranty of uninterrupted or error-free service
- Security: No warranty that the service is completely secure or free from viruses or harmful components
Your Risk
You acknowledge that your use of Halfway is at your sole risk. You are solely responsible for any damage to your device or loss of data resulting from your use of the service.
17. Indemnification
You agree to indemnify, defend, and hold harmless Success Bee LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of Halfway
- Your violation of these Terms of Service
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
- Any disputes with your household partner regarding shared data or expenses
- Unauthorized access to your account due to your failure to maintain security
This indemnification obligation survives termination of these Terms and your use of Halfway.
18. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights, including your right to file a lawsuit in court.
Informal Resolution
Before initiating arbitration or litigation, you agree to first contact us at hello@meethalfway.appto attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any issues.
Binding Arbitration
If we cannot resolve a dispute informally within 60 days, you and Success Bee LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Halfway shall be resolved by binding arbitration rather than in court.
Arbitration Rules
- Governing Rules: Arbitration shall be conducted under the rules of the American Arbitration Association (AAA)
- Location: Arbitration will take place in Virginia, or remotely via video conference if mutually agreed
- Costs: Each party pays their own attorneys' fees. We will pay all AAA filing and arbitrator fees unless the arbitrator finds your claim frivolous
- Decision: The arbitrator's decision is final and binding, and may be entered as a judgment in any court of competent jurisdiction
Exceptions to Arbitration
Either party may bring a lawsuit in court for:
- Claims related to intellectual property infringement
- Small claims court disputes (if they qualify for small claims jurisdiction)
- Injunctive or equitable relief
19. Class Action Waiver
YOU AND SUCCESS BEE LLC AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
- You waive any right to bring claims as part of a class action, collective action, or representative proceeding
- You may not consolidate your dispute with disputes of other users
- The arbitrator may not consolidate multiple users' claims or preside over any form of representative proceeding
If this class action waiver is found to be unenforceable, the arbitration agreement in Section 17 shall be null and void.
20. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Virginia
21. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to:
- Acts of God (natural disasters, pandemics, etc.)
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Third-party service provider failures (e.g., Plaid, Stripe, cloud hosting providers)
- Cyberattacks, hacking, or data breaches affecting our infrastructure
In such events, our obligations will be suspended for the duration of the force majeure event.
22. Modifications to Service
We reserve the right to modify, suspend, or discontinue any part of Halfway at any time, with or without notice.
- Feature Changes: We may add, remove, or modify features as we improve the service
- Service Suspension: We may suspend the service temporarily for maintenance or upgrades
- Discontinuation: If we discontinue the service entirely, we will provide at least 30 days' notice and offer refunds for unused subscription time
We are not liable for any losses resulting from modifications or discontinuation of the service.
23. Termination
Termination by You
- You may terminate your account at any time via the app settings
- Upon deletion, your data will be removed from our active databases in accordance with our Privacy Policy
- You will lose access to all premium features immediately upon account deletion
- Account deletion is permanent and cannot be undone
Termination by Us
We may suspend or terminate your access to Halfway immediately, without prior notice or liability, if:
- You violate these Terms of Service
- You engage in fraudulent or illegal activity
- You fail to pay subscription fees
- Your account has been inactive for an extended period
- We are required to do so by law or court order
Effect of Termination
- All licenses granted to you under these Terms will immediately terminate
- You must cease all use of Halfway
- Sections of these Terms that by their nature should survive termination will survive (e.g., intellectual property, indemnification, limitation of liability, arbitration)
- We are not obligated to provide refunds for terminations due to Terms violations
24. Changes to Terms
We may update these Terms of Service from time to time.
How We'll Notify You
- Material Changes: We will email you at least 30 days before any material changes take effect
- Minor Changes: We will update the "Last updated" date at the top of this page
- In-App Notification: For significant changes, we may also show an in-app notification
Your Options
- By continuing to use Halfway after changes become effective, you accept the updated Terms
- If you do not agree to the changes, you must stop using the service and delete your account before the changes take effect
- Your continued use constitutes acceptance of the new Terms
25. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
26. Assignment
You may not assign or transfer these Terms or your account to any other person or entity without our prior written consent. We may assign these Terms or any rights under them without restriction, including in connection with a merger, acquisition, or sale of assets.
27. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Success Bee LLC regarding your use of Halfway. They supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
28. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
